1. Agreement to these Terms
By accessing BeverageStack.com, requesting access, creating an account, using the platform or acting on behalf of an organisation that uses BeverageStack, you agree to these Terms of Use. If you use BeverageStack for a company, partnership, agency, distributor, importer, wholesaler or other organisation, you confirm that you have authority to bind that organisation.
If a separate written customer agreement, order form, subscription agreement or data-processing agreement applies, that document will prevail where it conflicts with these Terms.
2. About BeverageStack
BeverageStack is a B2B operating workspace for beverage distributors, importers, wholesalers, commercial teams, finance teams and warehouse operations. The platform supports inventory and batch tracking, purchasing and receiving, sales orders and picking, pricing and margin tools, CRM and account records, reporting, permissions and audit trails.
BeverageStack helps teams move from spreadsheet-heavy operations into a controlled, shared operating workspace. It is not a generic consumer application and is not designed for personal, household or non-business use.
3. Accounts and authorised users
- Access is limited to authorised users approved by BeverageStack or by the relevant customer administrator.
- Users must provide accurate account information and keep login details confidential.
- Accounts must not be shared except through approved role-based access arrangements.
- Customer administrators are responsible for managing user permissions, removing access when a user leaves and ensuring that users act within their authorised role.
- BeverageStack may require additional verification, reset credentials or restrict access where security or misuse concerns arise.
4. Customer data and workspace content
Customer data means information uploaded, entered, generated or managed by authorised users within a BeverageStack workspace, including customer, supplier, product, stock, batch, order, pricing, CRM, reporting and related operational records.

BeverageStack may access customer data only where necessary to provide, secure, troubleshoot, support, improve or comply with legal obligations relating to the service, subject to the Privacy Policy and Data Processing Policy.
5. Acceptable use
- Do not attempt to bypass authentication, permissions, usage limits, audit trails or security controls.
- Do not upload malicious code, unlawful material, infringing material, misleading records or data that the user has no right to process.
- Do not use the platform to process children's data, special-category personal data or highly sensitive regulated information unless expressly permitted in a separate written agreement.
- Do not reverse engineer, scrape, copy, resell, benchmark publicly or misuse the platform except as permitted by law and contract.
- Do not interfere with the availability, performance, security or integrity of BeverageStack or related systems.
- Do not use BeverageStack to breach sanctions, export controls, anti-bribery laws, alcohol licensing rules, tax rules or other legal obligations.
6. Subscriptions, beta access and changes
BeverageStack may be offered through free trials, beta access, pilot arrangements, paid subscriptions, bespoke onboarding or enterprise agreements. The features, limits, fees, renewal terms, cancellation terms and support commitments will be set out in the applicable order, quotation or written agreement.
Because BeverageStack is an evolving platform, features may be improved, renamed, replaced, limited, removed or added over time. Beta features may be incomplete, experimental or subject to change. BeverageStack will use reasonable care when making changes that materially affect active customers.
7. Intellectual property
BeverageStack and its software, design, branding, interfaces, workflows, documentation, templates, platform structure, product names, logos and related materials are owned by BeverageStack or its licensors. Except for rights expressly granted, no intellectual-property rights are transferred.
Customers and users may use the platform only for their internal business purposes or other purposes expressly agreed in writing. Feedback, suggestions and product-improvement ideas may be used by BeverageStack without restriction, provided BeverageStack does not disclose customer confidential information.
8. Confidentiality
Each party may receive non-public business, technical, commercial, operational or security information from the other. The receiving party must protect confidential information with reasonable care, use it only for the relationship connected with BeverageStack and not disclose it except to authorised personnel, advisers, service providers or where legally required.
Confidentiality obligations do not apply to information that is public through no breach, already known lawfully, independently developed without using confidential information, or properly received from a third party without a confidentiality restriction.
9. Privacy and data protection
Use of BeverageStack is subject to the Privacy Policy, Cookie Policy and Data Processing Policy. Customers and users must ensure that personal data entered into BeverageStack is collected and used lawfully and that privacy notices, consents, legal bases and internal authorisations are in place where required.
10. Service availability and support
BeverageStack aims to provide a reliable service, but no software service can be guaranteed to be uninterrupted, error-free or permanently available. Maintenance, outages, third-party service issues, internet disruption, security events and emergency changes may affect availability. Support commitments, if any, will be set out in the relevant written agreement.
11. Disclaimers and limitations
BeverageStack is provided for business operational support. It does not provide legal, tax, financial, regulatory, customs, alcohol-licensing, accounting or professional advice. Customers must verify outputs, calculations, tax assumptions, margin modelling, stock records, reports and regulatory conclusions before relying on them.
To the maximum extent permitted by law, BeverageStack will not be liable for indirect, incidental, consequential, special, exemplary or punitive damages, loss of profit, loss of revenue, loss of goodwill, loss of business opportunity, loss of data, business interruption or substitute service costs arising from or relating to use of the website or platform.
Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, fraudulent misrepresentation, wilful misconduct or death or personal injury caused by negligence where such exclusion is not permitted by law.
12. Suspension and termination
- BeverageStack may suspend or restrict access where there is suspected misuse, unpaid fees, security risk, legal risk, breach of these Terms or a need to protect the platform.
- Customers may terminate in accordance with the applicable order or written agreement.
- On termination, access may be disabled and customer data will be handled in accordance with the Data Processing Policy, Privacy Policy and any applicable written agreement.
- Terms that by their nature should continue after termination will survive, including confidentiality, intellectual property, payment obligations, disclaimers, limits of liability and dispute provisions.
13. Governing law and disputes
Unless a separate written agreement states otherwise, these Terms are governed by the laws of Ireland, without prejudice to mandatory rights that may apply under local law. The parties will first try to resolve disputes in good faith through commercial escalation. If a dispute cannot be resolved informally, it may be brought before the competent courts of Ireland unless mandatory law requires a different forum.
14. Changes to these Terms
BeverageStack may update these Terms from time to time. Updated Terms will be made available through the website or platform. Continued use after an update takes effect means the user accepts the updated Terms, unless a separate written agreement provides otherwise.
